1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Bridge platform and services provided by Bridge Investment Intelligence Ltd ("Bridge", "we", "us", "our"), a company registered in England and Wales.
By accessing or using our platform, you agree to be bound by these Terms. If you are using Bridge on behalf of a firm or organisation, you represent that you have authority to bind that entity to these Terms.
2. Definitions
- "Platform" means the Bridge web application, including all content, features, and functionality
- "Services" means the MPS research, analysis, and oversight tools provided through the Platform
- "User" means any individual accessing the Platform under a valid subscription
- "Subscriber" means the firm or individual holding a paid subscription to the Services
- "Content" means all research, data, analysis, commentary, and materials available on the Platform
3. Important Disclaimer — Not Financial Advice
Bridge is not authorised or regulated by the Financial Conduct Authority (FCA).
The Content on our Platform is provided for research and informational purposes only. It does not constitute financial advice, investment advice, or any recommendation to buy, sell, or hold any investment product.
You acknowledge and agree that:
- Bridge provides independent research and analysis on Model Portfolio Services to support your own assessment and decision-making processes
- The Content is not a substitute for professional financial advice tailored to your clients' individual circumstances
- You remain solely responsible for conducting your own due diligence and for all investment recommendations and decisions made for your clients
- Past performance data and analysis presented on the Platform is not indicative of future results
- You should seek independent professional advice where appropriate before acting on any information contained on the Platform
- Bridge does not assess the suitability of any investment for any individual client — this responsibility remains entirely with the financial adviser
The value of investments can fall as well as rise. Clients may get back less than they invest. Bridge accepts no liability for any investment decisions made based on Content provided through the Platform.
4. Subscription and Access
4.1 Account Registration
To access the Platform, you must create an account and maintain a valid subscription. You agree to provide accurate, current, and complete information during registration and to keep this information updated.
4.2 Subscription Plans
Subscriptions are offered on a monthly basis with pricing based on firm size. Details of current pricing are available on our website. All prices are exclusive of VAT unless otherwise stated.
4.3 Payment
Subscription fees are payable in advance. We reserve the right to suspend access to the Platform if payment is not received within 14 days of the due date.
4.4 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial billing periods.
4.5 Changes to Pricing
We may change subscription pricing with at least 30 days' written notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
5. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for your internal business purposes. You may:
- Access and view Content for research and analysis purposes
- Generate and download reports for internal use and client communications
- Share Content with colleagues within your firm who are covered by your subscription
6. Prohibited Use
You agree not to:
- Share login credentials or allow access by unauthorised users
- Redistribute, resell, or sublicense Content to third parties
- Scrape, copy, or systematically download Content for purposes other than normal use
- Modify, adapt, or create derivative works from the Content without permission
- Use the Platform in any way that violates applicable laws or regulations
- Attempt to gain unauthorised access to our systems or other users' accounts
- Use automated systems or software to access the Platform without our written consent
- Present Content as your own original research or remove Bridge branding from reports
7. Intellectual Property
All Content, software, designs, trademarks, and other intellectual property on the Platform are owned by Bridge or our licensors. Your subscription grants you a licence to use the Platform — it does not transfer any ownership rights.
You retain ownership of any data you upload to the Platform. By uploading data, you grant us a licence to use it solely for the purpose of providing the Services to you.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws including the UK GDPR and Data Protection Act 2018.
9. Confidentiality
Each party agrees to keep confidential any proprietary or non-public information received from the other party. This includes your firm data and our proprietary methodologies and unpublished research. This obligation survives termination of your subscription.
10. Limitation of Liability
10.1 Exclusion of Warranties
The Platform and Content are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement.
10.2 Limitation of Damages
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of profits, revenue, data, or business opportunities
- We shall not be liable for any investment losses or client claims arising from your use of the Content
- Our total liability for any claims arising from these Terms shall not exceed the subscription fees paid by you in the 12 months preceding the claim
10.3 Consumer Duty
While Bridge provides research to support your governance and oversight processes, you acknowledge that compliance with the FCA's Consumer Duty and all other regulatory obligations remains your sole responsibility.
10.4 Exceptions
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded or limited by English law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Bridge, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform or Content
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Any investment advice or recommendations you provide to your clients
- Any claims made by your clients relating to their investments
12. Service Availability
We aim to provide continuous access to the Platform but do not guarantee uninterrupted availability. We may suspend access for maintenance, updates, or circumstances beyond our reasonable control. We will endeavour to provide reasonable notice of planned maintenance where possible.
13. Termination
We may suspend or terminate your access immediately if you breach these Terms, fail to pay subscription fees, or engage in conduct we reasonably consider harmful to Bridge or other users.
Upon termination, your right to access the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bridge regarding your use of the Platform.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to any successor in interest.
